1. Agreement; Scope

These Terms & Conditions ("Terms") are a binding agreement between Third‑Eye Cinematics LLC ("TEC," "we," "us," or "our") and any individual who registers for, purchases, or attends TEC master classes, workshops, or events, or who uses TEC websites, accounts, or online services (collectively, the "Services"). By clicking "I Agree," registering, or attending, you acknowledge and accept these Terms.

2. Eligibility; Student Accounts

2.1 Eligibility.

You must be at least 18 years old to register. Participants under 18 must be accompanied by a parent or legal guardian who has also registered.

2.2 Accounts.

You agree to provide accurate information and to maintain the confidentiality of your credentials. You are responsible for all activity under your account.

3. Registration; Payment; Taxes

3.1 Registration.

Your seat is confirmed when TEC or its authorized payment processor accepts payment and you receive a confirmation.

3.2 Fees and Currency.

Fees are quoted in USD and are subject to applicable taxes. You authorize charges to your selected payment method.

3.3 Payment Processing.

Payments are handled by secure third‑party processors. TEC does not store full card numbers. You agree to the processor's terms. When using Stripe, you agree to Stripe's Terms of Service.

4. Cancellations; Refunds; Rescheduling

4.1 Your Cancellation.

Written cancellation requests received: (a) >30 days before the event: full refund less a 5% processing fee; (b) 15–30 days before: 50% refund; (c) <14 days: non‑refundable. Transfers to another attendee may be permitted with prior approval.

4.2 TEC Changes.

TEC may cancel, postpone, or reschedule for any reason, including low enrollment, instructor unavailability, venue issues, safety concerns, or force majeure. If TEC cancels, you will receive a refund of the registration fee paid to TEC.

4.3 Travel Expenses.

TEC is not responsible for any personal or travel expenses (airfare, lodging, transportation, lost wages). We recommend purchasing travel insurance.

5. Schedule; Venue; Technical Requirements

5.1 Schedule Changes.

TEC reserves the right to modify session times, curriculum, instructors, or guest speakers as needed. If a venue change is required, TEC will provide reasonable notice and ensure the new location is within the same metropolitan area.

5.2 Online Access Requirements.

For virtual sessions, you are responsible for having a compatible device, reliable internet connection, and any required platform accounts (e.g., Zoom or similar). TEC is not responsible for connectivity issues on your end.

5.3 Technical Support.

TEC will provide basic guidance for accessing online classes but does not guarantee resolution of individual technical issues beyond reasonable assistance.

6. Recording Policy; No‑Recording Rule

6.1 No‑Recording by Participants.

To protect intellectual property, participants may not record, livestream, or capture any portion of the class (audio, video, screenshots) without prior written permission from TEC.

6.2 Enforcement.

TEC may request deletion of unauthorized recordings and may remove violators without refund. TEC reserves all legal remedies for unauthorized distribution.

7. Media Release; Use of Likeness

By attending any TEC master class, workshop, or related event, you grant Third‑Eye Cinematics LLC a non-exclusive, royalty-free, worldwide, perpetual license to use your image, voice, and likeness captured during the event for archival, educational, and promotional purposes, including but not limited to:

  • Marketing materials (brochures, flyers, social media posts, and advertisements);
  • TEC's website and digital platforms;
  • Educational content and future training resources.

This permission applies without compensation and without further approval, unless you notify TEC in writing prior to the event and TEC confirms accommodation in writing. TEC will make reasonable efforts to honor such requests, subject to event logistics and safety requirements.

8. Intellectual Property; Course Materials

8.1 Ownership.

All class content, materials, handouts, slides, recordings, and instructor presentations are the intellectual property of TEC or the instructor and are protected by copyright and other applicable laws. No ownership rights are transferred to you by attending a class or accessing materials.

8.2 Limited License for Personal Use.

TEC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use course materials solely for your personal, non-commercial learning. You may not reproduce, distribute, publish, or share these materials without TEC's prior written consent.

8.3 Participant-Created Works.

You retain rights to original works you create during the class (e.g., short films, scripts, or projects), subject to venue rules and third-party rights. You are responsible for obtaining necessary permissions for any third-party content (such as music, images, or footage) incorporated into your work.

8.4 No Unauthorized Recording or Distribution.

You may not record, livestream, or distribute any portion of the class or its materials without TEC's prior written approval. Unauthorized use may result in removal from the event without refund and may lead to legal action.

9. Code of Conduct; Safety

9.1 Professional Conduct.

Participants must maintain respectful and professional behavior at all times. Harassment, discrimination, disruptive conduct, or violation of venue rules is strictly prohibited. TEC reserves the right to remove any participant who violates this Code without refund.

9.2 Safety Requirements.

Filmmaking activities may involve equipment such as cameras, lighting rigs, cables, and other gear, as well as physical movement during shoots. You agree to:

  • Follow all safety instructions provided by TEC staff and instructors.
  • Use equipment responsibly and report any damage or malfunction immediately.
  • Comply with venue safety protocols and emergency procedures.

9.3 Zero-Tolerance Policy.

Any conduct that endangers others, damages property, or interferes with the learning environment will result in immediate removal from the event without refund and may lead to legal action if warranted.

10. Assumption of Risk; Waiver; Indemnity

10.1 Assumption of Risk.

By participating in any TEC master class, workshop, or related activity, you acknowledge and accept that filmmaking and related educational activities involve inherent risks. These risks may include, but are not limited to: handling cameras, lighting equipment, cables, and other gear; physical activity during on-location shoots; and interaction with other participants. You voluntarily assume all such risks, whether known or unknown.

10.2 Waiver and Release.

To the maximum extent permitted by law, you release and discharge TEC, its instructors, staff, affiliates, and venue partners from any and all claims, liabilities, damages, or expenses arising out of or related to your participation, except to the extent caused by TEC's gross negligence or willful misconduct.

10.3 Indemnity.

You agree to indemnify, defend, and hold harmless TEC, its officers, employees, instructors, and affiliates from and against any claims, losses, damages, costs, and expenses (including reasonable attorneys' fees) resulting from:

  • Your breach of these Terms;
  • Your negligence or misconduct during any TEC event;
  • Any injury or damage caused by your use of equipment or facilities;
  • Any violation of third-party rights (including intellectual property) in connection with works you create during TEC activities.

11. Disclaimers; No Guarantees

The Services are provided "AS IS." TEC does not promise specific outcomes (e.g., employment, awards, distribution). We disclaim implied warranties to the fullest extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, TEC's total liability for any claim is limited to the amount you paid to TEC for the applicable class. TEC is not liable for indirect, incidental, special, or consequential damages.

13. Third‑Party Services

The Services may integrate or rely on third‑party platforms (e.g., video conferencing, payment processors). Those services are governed by their own terms and privacy practices. TEC is not responsible for third‑party services.

14. Privacy; Communications

Your use of the Services is subject to TEC's Privacy Policy. By creating an account or registering, you consent to receive transactional and administrative communications. You may opt‑out of marketing communications at any time.

15. Force Majeure

TEC will not be liable or deemed in breach of these Terms for any failure or delay in performing its obligations caused by circumstances beyond its reasonable control. Such circumstances include, but are not limited to: acts of God; natural disasters; fire; flood; severe weather; public health emergencies; pandemics; epidemics; governmental orders or restrictions; labor disputes; strikes; civil unrest; war; terrorism; power outages; internet or telecommunications failures; and venue unavailability.

In such cases, TEC may cancel, postpone, or reschedule affected classes or events. If cancellation occurs, TEC will refund registration fees paid to TEC, but will not reimburse travel or other personal expenses.

16. Dispute Resolution; Arbitration; Class Waiver

16.1 Information Resolution and Mediation.

Before filing a claim, the parties will attempt to resolve disputes informally for 30 days. If unresolved, the parties must engage in good-faith mediation for at least 30 days before initiating arbitration. Mediation will be conducted virtually or in Wake County, North Carolina, unless otherwise agreed in writing by both parties.

16.2 Arbitration.

If mediation does not resolve the dispute, the matter will proceed to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer/Commercial Rules, before a single arbitrator. The seat and venue of arbitration will be Wake County, North Carolina, and the arbitration will be governed by the Federal Arbitration Act.

16.3 Class Action Waiver.

Disputes will be resolved only on an individual basis. Class, consolidated, or representative actions are not permitted, and you waive any right to participate in such actions.

17. Governing Law; Venue

These Terms are governed by the laws of the State of North Carolina (without regard to conflict of law principles). Subject to the arbitration provisions, any permitted court proceedings shall be in the state or federal courts located in Wake County, North Carolina.

18. Changes to Terms

TEC may update these Terms from time to time. Material changes will be posted or communicated. Continued use after changes become effective constitutes acceptance.
